The image of the goddess Athena is based off the statues in both ancient and modern Greece. She is holding a spear in her right hand and a shield on her left arm, representing the organization's role to protect. The rising sun the the background is meant to represent hope for another day.

Now a little on how the symbol is used:

An A.T.H.E.N.A. soldier's uniform is set up in a similar fashion, except the name of the soldier's assigned squadron is put in place of were the agent's number would be. The squads names are put in “quotes” so that there will be no mistaking a soldier from a squadron titled with numbers for an agent.
E.g. A soldier from Squad "182" would look like they were Agent 182 if not for the quotes.
