Chapter 37 : Incorporated

After 2 trips to Regis, Susco was an expert on all matters regarding incorporation of companies after her training in Regis with the Imperial Advocate General's Office. She was also an Officer of Court, which is the person you would normally need to go to for registering the documents relating to incorporation of a company in Bravadia.

"Everyone please note that at the bottom of the Incorporation Deed, there is a Unique-Document-No (UDN) which I have obtained from the Server of the Ministry of Commerce this morning. You need to prepare a Transaction Token embedding your Citizen-ID and the UDN along with the date time stamp and your Communicator's ID. That will signify your agreement to the document. You need to give the token to me. I will embed it in the Incorporation Deed and upload it to the Server at the Ministry.

"Once I upload it, it is final, and you cannot go back on it. The incorporation document is public document and can be viewed by anyone. The shareholding details, as they change from time to time, also will be a matter of public record. This is the law and it can not change even for the Royal Family."

Daniel was the first to prepare and transfer his token. Rosemary was next, Dusk copied her and made a token of her own. Finally, Louis gave his token specifying the UDN of his authority as representative of a shareholder block.

"I will also need to put my own token as Trustee for Dusk. If anyone has any objection, we need to get a different Officer of Court to authenticate and upload the document. I have recorded my dual role in Item 68 of the Incorporation Deed, each one needs to authenticate that indicating they do not have an objection." Susco stated.

Once everyone had given their token, Susco put her own and uploaded it to the server, completing the incorporation process. A minute letter, Techredulous Inc. showed up in the list Companies on the Bravadia Ministry of Commerce Portal which Susco was projecting from her communicator to a holovision screen. Everyone in the room shook hands and Rosemary asked the Manager to open a bottle of bubbly and give a drink to everyone in the office.

"Now, we need to proceed with the agenda for today." Rosemary said. "Since all shareholders are here, we can proceed with a meeting of the shareholders. Ms. Susco being an Officer of the Court, can upload the approvals for us." Susco nodded. Rosemary had also spent a week learning these things together in Regis under a bunch of 'Sour Old Men with limited patients' as she called them, but Susco was pretty impressed with Rosemary's ability to learn.

Rosemary distributed a document to them, "This is a call for meeting of shareholders of Techredulous Inc, without mandatory prior notice of meeting required under law. If all shareholders accept the notice and waive off the mandatory notice, then the meeting can continue. Each of you have to Create a Token of Acceptance. The UDN is at the bottom of my file."

Each one created a token and threw it at Susco, who embedded it and uploaded to the Ministry website. The meeting officially started.

Next Rosemary distributed the Agenda. Dusk read it but did not comprehend it fully.
