Chapter 18 - Necessary Moves

Limang araw matapos ang party ni Mandie ay ipinatawag siya ng kanyang Lolo Ricardo sa opisina ng R&J Development Corp.  Sinamahan siya ni Joaquin at Sheryl doon.  Humarap sa kanila ang abogado ng kanyang Lolo Ricardo.

Ricardo:  Hello Amanda, I want you to meet Atty. Gerard Gozum and aking personal na abogado at ito naman si Atty.  Simon Peralta ang abogado ng kumpanya.  I asked you to come here to explain to you an important task of being an heiress of the Capili Estate.  You being of legal age entitles you to be on the rank to inherit either a part or all of the Capili Estate.

Mandie:  Lolo naman, inherit?  You are as healthy as a bull why do we have to talk about this now.

Ricardo:  That is exactly the point Hija, habang malakas pa ako. I need to do this para kapag mahina na ako, hindi ko na ito poproblemahin pa. That is why I need you to focus and listen really well.  You as an heiress of the Estate needs to make sure that you take care of your right and put it to good use for your families sake, especially your siblings.  As much as I want you to live in a perfect world apo, I cannot promise you that and in this world, there are a lot of different and bad people.  There are people who are envious of us and what we have so at one point may mga taong magiinterest sa kung anong meron ka o meron tayo. So, you will have to know how to protect everything that you have.  Including taking care of the whole Capili Estate dahil kapag yon ang nawala, wala ng maiiwan sa inyo ng mga kapatid mo. I just want to make sure na makukuha mo ang dapat ay para sa yo at sa mga kapatid mo.

Atty. Gerard Gozum:  Amanda, bilang ikatlong tagapagmana binibigyan kayo ng kapangyarihan ni Don Ricardo na alagaan, palaguin at protektahan ang kanyang mga kayamanan at ari-arian. Atty.  Simon Peralta:  Ang R&J Corporation ang isa sa pinakamalaking bahagi ng investment ng Lolo mo at halos lahat ng kanyang ari-arian ay nakapailalim sa Corporation na yan. Decision making of the Corporation is done by your Lolo Ricardo, Lolo Rodrigo and the Board Members.  Your Papa and Tita Sheryl has a seat on the Board and now that you are of legal age you are now officially member of the Board as well.  Kasama ang ilang matalik at mapagkakatiwalang kaibigan ng Lolo at Papa mo. Being a Board Member has its perks and advantage like they have direct access to use company funds through an ATM Machine and a Credit Card. The company trust that they will use the funds for the good of the company.  Let's say para idate ang client to go on our favor sa mga bidding or to acquire a property na sa palagay nila magandang investment. In short pwede silang kumuha ng malaking halaga para sa mga ganong purpose. Provided na maililiquidate nila o maipapaliwanag ng mabuti kung saan nila ginamit na investment ang kinuha nila.

At a given chance... that any of  your Lolo, Papa and Tita Sheryl or any of the Board Members happens to make a malicious decision... when you say malicious... a decision that is biased and based on personal reasons and for the good of one self. So ibig sabihin... Not for the good of the majority and or not for the good of the company and its people. O kaya a reason that can jeopardize the position of any Board Member or the whole Estate.  You being an heiress has the ability to freeze the Estate Funds.

Mandie:  When you say Freeze, you mean stop the operations of the company?

Atty. Simon Peralta:  Not really stop the operation kasi hindi naman pwedeng basta na lang magsara at hindi magoperate ang Office. When you say Freeze, it means stopping any unrelatively move to use any funds for any other purpose except the operations.

Atty. Simon Peralta:  So lahat ng tinatamasa na luwag sa finances ng Papa at Tita mo pati ng lahat ng Board Members  will be stopped.  Tulad ng access nila to withdraw from the company account.  Or the use of the company credit card.  Ang tanging pwedeng gumalaw lang ay ang funds para sa operation ng Kumpanya. Kapag may ebidensya ka na may mga maling decision ang sino man sa board member na sa palagay mo ay makakagulo o makakasira ng katayuan mo o ang tahasang paggamit ng corporate funds para sa ibang bagay all you have to do is directly contact Atty.  Gozum at siya ang magaanalize kung may basehan ang hinala mo and if there is he will help you make the necessary documentation to Freeze the assets and ako naman ang maninigurado na nakafreeze talaga ang Estate Assets on the Corporations side.
